Terms of service

1. What VeriGiving is

VeriGiving is software that lets a community pay an invoice issued by a verified business. A contribution page is anchored to a real invoice. Contributions are payments toward that invoice and settle directly into the business's own account with our payment processor.

VeriGiving is not a party to the payment. We never receive, hold, pool, or transmit contributor funds, and we cannot direct them anywhere other than the verified business named on the page.

A contribution is not a charitable donation. No tax receipt is issued and none should be inferred.

2. Current status

The platform is in pre launch. It is not yet operating and is not accepting contributions from the public. Features described on this site may change before launch.

3. Eligibility and accounts

You must be the age of majority in your province or territory to create an account. You are responsible for the accuracy of the information you provide and for keeping your credentials secure. Tell us promptly if you believe your account has been accessed by someone else.

4. How contributions work

• · Every contribution page is tied to an invoice issued by a verified business
• · The business confirms the invoice amount before payments open
• · Collection stops at one hundred percent of that invoice, so no surplus is collected
• · Payments settle directly to the business, never to an individual
• · Contributors receive a receipt naming the business, and notice when the invoice is settled

Contributions are generally final once made. Because a contribution pays an invoice issued by the business, any refund is issued by that business. We will assist in reaching them. See our support page.

5. Fees

Creating and sharing a contribution page is free for organizers and families. Contributors are never charged a fee and are never asked for a tip; the amount you contribute is the amount that goes toward the invoice.

Businesses pay a platform fee on contributions collected through the service, disclosed to them before they begin. Payment processing fees charged by our payment processor are separate and are the business's responsibility.

6. Obligations of businesses

A business using the service confirms that it is lawfully carrying on business in Canada, that invoices submitted are genuine and reflect services it has provided or agreed to provide, and that it holds any licences its province requires. A business must keep its account information current and must not use the service to collect amounts it is not owed.

7. Acceptable use

You must not use the service to deceive anyone, to raise money for a purpose other than the invoice shown, to impersonate another person or business, to launder funds, to evade sanctions, or for any unlawful purpose. You must not attempt to gain unauthorised access to the service or interfere with its operation.

We may suspend or remove a page or an account, and may decline or reverse a transaction, where we reasonably believe these terms have been breached or where we are required to do so by law.

8. Content you provide

You keep ownership of the text and images you upload. You grant us a licence to host and display that content for the purpose of operating the service. You confirm that you have the right to share it and that it does not infringe anyone's rights or privacy.

9. Disclaimers

The service is provided on an as is and as available basis. We do not warrant that it will be uninterrupted or error free. Verification of a business confirms the checks described on our site; it is not a guarantee of the quality of that business's services or of any outcome.

10. Limitation of liability

To the fullest extent permitted by law, VeriGiving and 13270122 Canada Inc. are not liable for indirect, incidental, special, or consequential losses. Our total liability arising out of or relating to the service is limited to the platform fees we received in connection with the transaction giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

11. Privacy

Our handling of personal information is described in our privacy policy, which forms part of these terms.

12. Changes

We may update these terms as the platform develops. The effective date above shows when they were last revised. Continued use after a change means you accept the revised terms.

13. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province. The courts of Ontario have jurisdiction, without prejudice to any right you may have to bring a claim in your own province of residence.
